The Visibility Coach Member Agreement Thank you for becoming a valued member of The Visibility Coach! Below is our membership agreement. This is an agreement between the signing individual (Member) and the The Visibility Coach (Company) whereby the Company agrees to provide Coaching Services through a designated or selected business marketing expert (Coach) as well as providing other member benefits on a recurring monthly basis. To clarify, the business relationship is not between the Member (or their sponsoring organization) and the Coach, but between the individual Member and the Company. Description: Coaching is an alliance between the Member and the Coach in a thought-provoking and creative process that inspires and equips the Member to maximize their personal, professional and organizational potential. Responsibilities: 1. The Member is responsible for his/her own physical, mental and emotional well-being, decisions, choices, actions and results. As such, the Member agrees that the Coach is not and will not be liable for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. 2. The Member understands that coaching is not to be used as a substitute for professional advice by legal, mental, medical or other qualified professionals and will seek independent professional guidance for such matters. If the Member is currently under the care of a mental health professional, the Coach and Company recommends that Member inform the mental health care provider. 3. The Member agrees to communicate honestly, be open to feedback and assistance and create the time and energy to participate fully in coaching. 4. The Member understands that the Coaching relationship is intended to offer guidance, insight, strategies and tactics to help the Member build their personal and professional skill sets as well as their business. The Member understands that the implementation of the business concepts discussed are the sole responsibility of the Member and that the membership fee paid to the Company does not include strategic or tactical implementation of ideas discussed. Services: In regard to the membership agreement, the Company agrees to provide and facilitate a recurring monthly coaching relationship providing up to TWO, 90 Minute coaching sessions per month for a maximum of 24 coaching sessions per year. The parties may meet in person, by phone, or by video chat/conference. The Coach may be available to Member by email or by phone in between scheduled meetings as time permits and as agreed-upon by both parties. Scheduling mutually-agreeable times is the responsibility of the member and should be requested no later than the 15th of each month. Missed or non-fulfilled sessions do not roll-over to the following month provided the Coach has responded in a timely manner. Coaching sessions not scheduled during the monthly retainer are forfeited by the Member. As part of the membership agreement, Member is also afforded access to additional business-building resources which may include, but are not limited to: exclusive articles, publications, webinars, members-only forums, conferences and more. Schedule & Fees: This agreement is valid beginning on the date signed below and will begin immediately on a non-prorated basis provided the agreement is signed before the 10th of the month. After the 10th of the month, the membership will begin on the first day of the following month unless reduced access during the initial month is understood and agreedupon by the new member at the standard rate. The membership fee is $750 per month and will be paid through automatic credit card billing on a recurring basis billed on the first day of each month. An annual payment option is available as well. The coaching sessions will begin at the agreed-upon—upon time and will not exceed 90 minutes, but may be less than 90 minutes at the Member’s discretion. Time from late beginning sessions due to Member’s late arrival, may be deducted from the allocated 90 minutes at the Coach’s discretion. Because the time of the Coach is valuable and must be respected, any Member arriving more than 30 minutes beyond the scheduled time, will forfeit the scheduled session. Confidentiality: This coaching relationship, as well as all information (documented or verbal) that the Member shares with the Coach as part of this relationship, is bound to confidentiality, but is not considered a legally confidential relationship (like in Medicine or Law). The Coach agrees not to disclose any information pertaining to the Member without the Member’s written consent. The Coach will not disclose the Member’s name as a reference without the Member’s consent. Confidential information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Member; (b) is generally known to the public or in the Member’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Member; (d) is independently developed by the Coach without use of or reference to the Member’s confidential information; or (e) that the Coach is required by law to disclose. According to the ethics of our profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, further coach professional development and/or consultation purposes. Cancellation Policy: Member agrees that it is the Member's responsibility to notify the Coach directly 24 hours in advance of the scheduled coaching session if a session is to be missed. It is also agreed that it is the Member’s responsibility to instigate a rescheduling of the missed session. Coach will attempt in good faith to accommodate the missed session, but substitute sessions are not guaranteed. Alternate Provider: It is acknowledged that not all Coach/Member relationships fulfill the needs or expectations of the parties involved. Upon request by either the Member or the Coach, the Company will make every effort to offer an alternative Coach to provide services to the Member under this agreement. The parties agree to work in good faith to initiate and foster a new and beneficial working relationship. Termination: The Member understands that any business relationship takes time to bear fruit. As such, the Member agrees to maintain membership for an initial 6 month period. After the initial 6 month term, the Member may terminate this agreement at any time with 30 days written notice. Any payment made before the termination will be applied to the following 30 day term and as Member benefits will still be in effect, no refund or proration will be paid. The Company may terminate the agreement at will. If the relationship is terminated by the Company, a proration of paid funds will be reimbursed to the former member within 14 business days of termination in the form of a certified check. Limited Liability: Except as expressly provided in this agreement, the Company makes no guarantees or warranties, express or implied. In no event will the Company be liable to the Member for consequential or special damages. Notwithstanding any damages that the Member may incur, the Company’s entire liability under this agreement, and the Member’s exclusive remedy, will be limited to the amount paid by the Member to the Company under this agreement for all services rendered up until the termination date. This is the entire agreement of the parties, and reflects a complete understanding of the parties with respect to the subject matter. This agreement supersedes all prior written and oral representations. If a dispute arises out of this agreement that cannot be resolved by mutual consent, the Member and Company agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not resolved between the Company and Member, the two parties agree to resolve the dispute through mediation.
